uhm....you havn't quite got a clear understanding of things.

Microsoft offered a bid to buy Yahoo because Microsoft recognizes a money making machine when they see one.

Smart businessmen don't place monumental bids on assets that are going in the crapper.

Microsoft covets Yahoo, and the position they have manuvered themselves into, that is why they want it so bad.

Being purchased by Microsoft or any other company doesn't mean they are closing down. They will be around for a long time to come. With millions of users Microsoft was just trying to purchase a users group for something beside e-mail which is what they already have with hotmail. They've never really added many other services to hotmail like yahoo has to make it draw the same type of crowd.

Because Yahoo was never aggressive with its future plans. Moreover it created several platforms and made them standalone while Google was aggressive and merged all its vertical services in to one. Universal search engine is one such example.
In initial days of Google, Yahoo! had great chance of acquiring Google but having an attitude of owning one of the largest databases of users and similar segments, Yahoo ignored that and now paying the price.
However merger of Microsoft + Yahoo would definitely create a force to reckon with especially when they leverage their existing businesses. Search engine leadership is distant for Microhoo! at least it will take another two years and most importantly innovative planning and pathbreaking search techniques which is very hard because Google is very aggressive and innovation friendly company. Though search engine concept is quite old, Google made it popular among the masses thereby showing the world that providing free informative links can create a behemoth company earning billions within nine years.
Microsoft and Yahoo should merge to end longterm SE monopoly of Google it already rules over 65% of the market.

Yahoo is not going out of business. It is going just a well as it always has. Microsoft is just buying Yahoo as a way to get at the Yahoo research. The initial investors in Yahoo are also interested in getting their share of Yahoo in cash. This is just a natural process in the world of business when a larger company thinks a smaller company would be a good addition.
