Can a limited company invoice before even been register with companies house?
Additional Details My question is because a company is asking me money from an invoice dated Dec 06 and I looked on Companies House and they have only been incorporated since Feb 07 ?? Dont even dealt with them before !
No. There are strict laws about corporate governance. A limited company must be properly registered and once they are they are issued with a registration number. In addition to this they must register with Inland revenue and they cannot commence trading without such authorisation. They can however write to potential customers on their headed paper (advertising information) as long as the registered number is stated on the bottom of the page along with the names of the directors. Sometimes these names do not appear because of companies using different trading names but any trading name can be traced back to its owner whether its a sole trader or partnership or company - private or plc. If you have been invoiced illegally you can take this up with the revenue. If you have been provided services however you are still obligated to pay for them and you can be sued for non payment even if the invoicing process was illegal.

Nope. You cannot trade at all without the Ltd Company being registered.
You can trade as a Sole Trader but this carried different risks.
My Ltd Company was operational within 1 week (Banc account, Company Registration, appointment of director and Secretery etc....)
Hope this has helped.

No. Simply.

The key issue is whether the invoice claim is valid: did you purchase goods which you have not yet paid for? If so, pay it. It is possible that the firm was not a company when you first traded (i.e. was a sole trader or partnership), but subsequently became a limited company.

No, because if you are not registered you are not a legal entity and effectively dont exist. As such you would be open to personal liability.
