Yes. Even as a DBA it would not necessarily "die". Forming a corp. is very easy, and you do not need a lawyer. In fact, a lawyer is a huge waste of money. It's very simple, and has some advantages. The "myth" you're going to hear is that it "protects" your assets. That's not true at all. It can protect your assets if you follow the "rules" of being a corp. An LLC has NO tax advantages over an Inc. Another myth. It depends on what your corporation is selling/providing. This has many answers that can only be fulfilled by knowing what you'd be planning. Walmart, as it is now, needs to be a corp. for many reasons. One is capital, the other is tax advantages, and the third is who's running the company on a daily basis. |

Anyone can incorporate. There are taxes advantages as well. You might look in to it. If you do, I'd get a good attorney to help you with the process and paperwork. You'll need one to be o retainer anyway. |

A sole proprietorship can become a corporation. You have to file Articles of Incorporation with your state regulatory agency. There are several advantages and disadvantages of doing so. Advantages include
---Limited liability (your personal assets are not at risk)
---Access to capital markets (list on the stock market)
---Easy transfer of interest (people can sell/buy shares in your company easily).
The disadvantages include
---Double taxation of dividends (a corporation pays dividends from AFTER-tax dollars and then the individual shareholders that receive the dividends have to pay personal income tax on them)
---Expensive, it costs money to incorporate.
The best business form for most small to medium size businesses, in my opinion, is a Limited Liability Company. They have great tax benefits and offer protection for your personal assets.
Probably a much longer answer than you wanted, but good to know. |
