Contrary to popular belief, L.L.C. stands for limited liability company and not limited liability corporation.
An L.L.C. is taxed like a corporation but it does not have boards of members that need to be consulted before a decision can be made. I also think that they can trade stock but I could be wrong.
An L.L.C. is ideal for the small business man who wants the legal coverage of a corporation instead of getting his assets seized in the event of a lawsuit if he were only a sole proprietorship. An L.L.C. gives you the legal protection that a corporation offer but a corporation has many people making one decision
When you want to be an L.L.C. you file in the state the you like best depending on the laws governing L.L.C.s in that state and you fill out a form and that's that. But when you file to be a corporation you need to describe your business to the secretary of state and they will let you know if you need to file as an S corp or a C corp.
I am going to file an L.L.C. in the state of Oregon because the filing fee is only 50 bucks!

David P. is correct, however the other advantage to an LLC is it can be totally private. It needs not have a board of directors have corporate meetings keep minutes etc. Also the income from an LLC is claimed directly on the owners income, it does not require a separate tax return.

That's "Limited Liability Corporation." Its a form of incorporation permitted by law and under the tax code. There are other forms of incorporation, such as a sub chapter S (S Corp), for example. A principle feature of the LLC versus other incorporations is to shield members from legal liability.
