Most people would recommend an LLC or S-Corp. The downside to a sole proprietorship or partnership is that it can leave you personally on the hook if someone decides to sue your company. The bad thing about a C-Corp is that it provides you protection from liability, but you are essentially being taxed twice. An LLC or S-Corp will give you the best of both worlds. Either one would be good. |

If it's just you, it's not a partnership. If it's you and someone else, it's not a sole proprietership.
Corporations and LLCs limit individual liabilty if someone sues you.
Talk to a tax accountant about what would be most advantageous for your particular situation. You can always incorporate a sole propietership or partnership later. |

If you don't do any paper work regarding the form of the business its a sole prop. or more that 1 partner its a partnership.
For all other forms like Corp - C or S or LLC, LP, LLLP, PA you need to file a charter with the respective state and fo throught the formality. |

There are so many variables.
To Follow up on the last question, a C corp, pays tax twice but writes the tax off. |

I suggest you go to the library and borrow a book in business law.
It is very difficult for us to explain all the different form of business organizations. A corporation could shield you form some kind of liabilities, but it may also cost you more in taxation. You have to file two separate return, one for yourself and one for the corporation. You may ended up paying two taxes. In a sole proprietorship, you may have unlimited liabilities, but it is cheaper to start. And you do not have to worry about all those government regulations. |
