Ordinarily, a chairman of the board is who guides the direction into which a company or corporation goes. He is the one who heads a group of people who directs company policy.
The Chief Executive Officer acts at the direction of the board, who is headed by the chairman. He carries out what the chairman and the board tells him to do.
But sometimes, the chairman is also the CEO, so there you go.

They serve different functions. The Chairman doesn't even have to have a job at the company. The CEO does.
The "chairman" is the chairman of the Board of Directors. He doesn't have to actually work at the company in a management position--he just sits at the head of the table in board meetings. The "CEO" is the top working manager of the company.
The CEO reports to the Board of Directors. The Board of Directors (some Directors may work at the company, some may not--they maybe outside experts in finance or marketing or technical issues) reports to Chairman of the Board. The Chairman of the Board reports to the Stockholders.
So, in order of "who's higher"
1. Shareholders
2. Chairman of the Board
3. Board of Directors
4. CEO
In small companies, the CEO and Chairman are usually the same person. In older larger companies, the Chairman is often the old guy who founded the company, but prefers to play golf most of the time now that he's old. The CEO runs the show, but the Chairman still sits on the board and helps make or decide board level decisions.

The Board of Directors appoints a Chairman to preside over the Board.
A CEO is one of the officers appointed by the board, as is the CFO/Treasurer, Secretary and VPs.

It's more of a fact that the CEO actually runs the company, is involved at a more nuts-and-bolts level (as much as a CEO can be) where as a chairman is usually the person involved in the board of operations that controls "direction" and finances of the company. Depending on the company, sometimes a chairman is higher up because of the structure of power, but usually, the CEO is left to do what he/she is good at, and the chairman decides on where money goes/etc.
