I have a consulting business right now and would like to incorporate my business but don't know which way to go. I really don't know much about corporations and I've been doing some reading about them. If I start a corporation, what kind of corparation is ideal and why and how can utilize it? I've heard a nevada corp is good to start also. |

I would strongly recommend that you talk to a business counselor before you do anything especially spend money. I'd call the local office of SCORE (go to http://www.score.org and input your zip code to find the chapter nearest you), the advice is FREE.
The counselor at SCORE will most likely advise you to write a business plan which is very good advice because it will force you to dig out all of the start up details and the costs of starting your consulting comapny and force you to also understand all of the aspects of this business including the customers you'll concentrate on (your market ) and how you'll go after them.

Well, what type of corporation you need is determined by the circumatances...and you haven't said anything about that.
Now as far as what state it is originated in is generally a moot point if you only do business in mainly one state. Otherwise your just opening yourself up to more regulations. |

One benefit to incorporation is that if you end up in financial trouble, you are not personally liable for the funds. The company, as a corporation, would be its own legal entity. You would also be taxed at a lower rate than you are likely currently receiving. Your financial history and credit rating have no bearing on the company's, as it will develop its own credit rating.

You might want to research the benefits of an LLC or Limited Liability Company.
Corporations are not condusive to closely held businesses. If you get big, you can convert to a corporation. |
