What happens when two partners in a partnership cannot get along yet one won't buy the other out or sell the
entire business? Can the court force the dissolution of the entire partnership and the assets to be sold?

rhsaunders
Yes. A court can order partition if the parties cannot agree.

Beejee
If they were/are equal partners the OTHER one should buy or sell.

One sues the other one and the one who was sued looses everything because the one who sued him lied in court...

As far as I know, the court can't really do that unless there is a specific reason. Why not be the bigger person and sell out? It may not be that hard to re-establish yourself and keep the clients that you work with.

John M
Yes the courts can make the partner either buy your share or sell theirs. In most cases you can sell yor share to who ever you want to, and your partner won't have a say in the deal. Then they would have the problems and not you.

go to mediation. File papers asking Federal courts to issue a breach of contract order. Of course this is only if there is a breach of contract. Otherwise, can file a form, sorry dont know the form number, asking incorpoaration agency to either make you a silent partner or take you off as a partner in the corporation. However I would get a corporate lawyer to help in the process as it can get messy and confusing... good luck

Don't think a court can make someone sell a business unless there is a legal dispute such as divorce, or breach of contract

Michael S
Take it to court, the judge can order a liquidation of assets if you can't come to some sort of agreement.
