You really need to ask any attorney as only they can provide legal advice. He/she will want to understand how many own the business (i.e. stockholders), your tax situation, and other information. If you are the only owner, and your tax situation is not complex, I suspect they will recommend an S corp as it is less expensive and less complex to "maintain" as a legal entity than a "C" corp. My impression is that should be no conflicting answers from those who understand your situation and know what they are talking about (lawyers). |

If the entity is going to be owned by a few individuals, then it sounds like an s-corp is the way to go. If you've already incorporated, you just need to file form 2553 with the IRS and you must do it quickly (within 60 days of formation to utilize it in the current year). To get the best answer for your particular situation you need to talk to an attorney who deals in these matters. It should not cost much - you might need only a 1/2 hour consultation as this seems to be a simple matter. Based solely on your post and assuming that you only have a few employees and that you and your spouse are the sole owners, I would say an s-corp is a no-brainer.
Attorneys absolutely can give tax advice and the poster who advised you otherwise is simply wrong. Considering that the authority to tax is derived from the tax laws and regulations, tax advice is legal advice by definition. |

An attorney cannot give you tax advice, only legal advice.
LLCs are awesome cuz you actually get to choose which way you want to be taxed, as a flow-through entity or as a stand-alone entity.
And if you set it up correctly and in the right state, you can get more protection out of this entity than any other entity.
Call a company that specializes in corporate structures as they will have on staff accountants and legal specialists to help you determine which is best for your individual situation. Attorneys and accountants that don't particularly specialize in corporate structures usually have one-size fits all answers as they don't set up corps on a regular basis. |
