In my company, CEO is the #1 honcho, the guy in charge. The CIO (chief information officer), CTO (chief technology officer), and COO (chief operating officer) all report to the CEO.

Besides reporting structure (See other comments), the COO is responsible for the day to day runing of the company. The CEO generally is more attentive to the board, shareholders, investment community and overall strategic direction of the company. In some companies, the CEO is the "spokesperson", the visible person, and the COO is behind the scenes making it happen. It other companies the CEO is also the President, with no COO and they serve both functions.

Chief executive officers are the big kahunas that make company wide decisions that affect every aspect of the company.
Chief Operating Officers are only concerned with day to day operations.

I'm a COO myself and can tell you the differences:
1) A CEO reports to the board of directors, while the COO reports to the CEO.
2) Often the COO is viewed by the board as the "next in line" to become the CEO.
3) Sometimes a COO is hired because the CEO just isn't a details oriented person and the board wants the CEO to focus on their strength, often sales or mergers/acquisitions.
4) Smaller companies may not have both roles if the CEO can handle both.
5) Just because the CEO could do both roles, doesn't mean they want to. Sometimes it is a personal choice of the CEO to bring in a COO.
6) A COO handles day to day operations. This can mean legal, finance, production, client services, product development. It can really be as broad as running the company, to as narrow as any one business function.

In simple words, CEO is involved in strategic decisions (mergers & acquisitions, new investments), while COO looks after day to day operations of business. CEO passes on new decisions to COO who is responsible for implementing the processes, to make then successful.
