It depends on the structure of the business.
Chairman (there are 2 types - non exec and executive)- in general this role is to chair meetings, give final decisions in meetings where the voting is tied and be the figurehead of the company.
A Non-Executive Chairman tends to chair meetings and give advice based on his/her industry experience but does not have a major day to day role in the company. This type of chairman is not 'THE' boss, but tend to share power with someone called the 'Managing Director' or more commonly 'CEO'
An Executive Chairman is someone who combines the role of CEO with Chairman, so basically they chair all the meetings, decide all the outcomes, and run the business day to day. This person would be the highest in the company.
In any business the REAL boss is the shareholders. These are the people you must keep happy all the time, and are ultimately the highest power in a business. |

The Chairman is, in theory, top of the heap. In many businesses' though the Chair is largely non executive on a week by week basis and indeed, the Chairman (who very often will hold other Chairs or Directorships) may only be seen at Board meetings. On a day to day basis the Chief Executive Officer/Managinging Director is THE man. |

A director is higher by a long way..
A director is on the board of the company.. a company by law must have a director and a secretary, The secretary may also be a director, but there must be at least 2 people.
The company is owned by shareholders, and this can also be the directors.. directors are appointed by shareholders.
A chairman may be a shareholder, but is just a person who "chairs" a board meeting... something similar to the speaker in the house of commons.. the directors run the company. |

I would say a chairman is higher because he owns a part of or the hole business. A director gives the employees instructions and controls the movement of the business, but the chairman issues the orders. I think it goes that way! Hope I'm right lol :) |
