In the UK (and I believe the US)it is regarded as best practice to have distinct roles for a Chairman and a Chief Executive Officer. They should not be the same person except where it is impractical to have two people.
The role of the chairman is to chair the board of directors and therefore he/she is responsible for the activities of the board as distinct from the activities of executive management. The chairman will often be a non-executive director. The board is responsible for setting strategy, looking after the interests of the stakeholders, and appointing the senior management team.
The Chief Executive Officer is the head of executive management and responsible for the day-to-day running of the company. As such he/she is answerable to the Board and hence the Chairman.

Not necessarily - meaning the Chairman of the Board and the CEO (Chief Executive Officer) do not have to have the same number of shares etc.; they almost always hold large number of shares. A CEO always reports to the Chairman. The CEO is responsible for everything - operations, strategy, company direction, ethics etc. In many companies, Chairman & the CEO can be the same person (as Bill Gates was up until a couple of years back - when Steve Ballmer was the President). No longer being the CEO frees up Bill Gates and the likes from very time consuming task of running a ship; allows them to indulge then into other things such as broader vision etc. |

The "Chief Executive Officer" (CEO) is by definition the highest -- the 'chief'. The name itself arose because there was confusion in the past between the relative positions of "Chairman of the Board of Directors" (Chairman) and the President. In some corporations, the President is the "real boss", and the chairman is just a "figure-head" who simply presides at board meetings but has no executive or managerial authority. In other corporations, the Chairman is the "real boss", and the President is a subordinate. In order to clarify this confusion, the term CEO was introduced to identify the "real boss": that is, the individual who is empowered with the principal executive authority and responsibility. |
