nice gal | Where do I stand legally if I have been approached for work by my previous company's client? |
I have quit my job around 6 months back to pursue a better career. I'm now working freelance and have been approached by a client of my previous company to do some work for them. I DID NOT sign any agreement saying that I couldn't work for anyone associated with the company including clients etc. But my previous company and my client have a cooling off period of 1 year, and my client needs my previous employer to waive the cooling off period. But my previous employer is not waiving the same and it is jeopardizing a good opportunity that is coming my way. How can I get around this problem? Can I take any action on my previous employer as it is taking a shape of a bonded labour in US for which I have no direct connection? Pls advice. |

Do you need this previous employer for a favorable job reference?
I would suggest you tread with caution. If this client will-- on the slide, seek services outside of contract, they may also do you slippery.
I would consider the work ethics that may be involved and not pursue the client's requests until the coast is contractually clear. |

You would normally have to sign a no compete agreement for that to hold water in court. No Compete clauses as part of any implied employment at will are typically not grounds for legal action. Any work you did for the former company is obviously their proprietary intelligence, but it should not prevent you from working for a similar trade; whether client or competitor. Sounds like this is an agreement the client has with your former employer (which is something they put into effect to protect their own interests). You may want to talk to a lawyer; but it sounds like there is not much you can do because this doesn't directly involve you, unless you take the job. If the client violates its own agreement it would prevent them from doing business with your former employer. And, at the risk of sounding patronizing, are you really that good that they are willing to take that risk to hire you? |

I would say, on the face of it, if you signed no agreement with your previous employer concerning clients business etc, you can go ahead and do business with whom ever you want.
The matter about whether or not your previous employer waive the cooling off period is between your client and your previous employer. When they sort that matter out then you can do business with your client, without any reference to your previous employer.. |

Legally, you have no problem. Since the cooling off period is between your former employer and a client, stay clear and look for opportunity elsewhere until all the smoke has cleared. If they make up and resume a relationship you may be the guy outside looking in. Avoid this for the time being, develop business elsewhere and if the client approaches you after the fact, welcome him with open arms. |
