First of all, I assume that you are from India. For becoming a Company Secretary, you have to do either 12th Standard, then Foundation Course, Intermediate and Final or if you are a Graduate, you can skip the Foundation Course. If you are a Chartered Accountant and/or have a Law Degree, you can claim exemption in certain subjects. For Detailed Prospectus, write to/Personally Contact either the Head Office in New Delhi or The Regional Councils/Sattelite Chapters of The Institute of Company Secretaries of India(ICSI). |

The Corporate Secretary is an officer of the corporation and is appointed by the board of directors.
The laws on this vary in different states and with the corporate by-laws. In my state, anyone except the president of the corporation may hold the office of Corporate Secretary. |

If this question relates to India, then the Company secretary post in large to medium sized companies is generally someone who is a Certified Company Secretary with the Institute of Companies Secretaries of India (ICSI). It has been some years since I left India but I believe that recent Company Law in India requires public companies to mandatorily have company secretaries who have passed the ICSI exam.
In the US, there is no such specific post nor requirement. Corporations have a General Counsel who is generally a J.D; i.e. holds a law degree. Having said that these General Counsels wield greater power and position than their counterparts in India and maybe in other countries given the legal climate in the US. Also, in the US an external law firm could sometimes be doing all the secretarial work. |
