This is a confusing issue.
The CEO normally holds the most power, but answers to the Board. The problem comes up when the CEO is also Chair of the Board. The CEO then has far too much power because now the Board is being directed by the CEO rather than the other way around.
One person answered this question by stating that the largest shareholder has the highest position and that is sometimes true. If the largest shareholder owns 51% of the stock or more then that shareholder generally directs the major decisions of the company.
The Chief Operating Officer is responsible for managing the people who manage the day to day operations of the company and reports to the CEO.
In an ideal company the CEO reports to the Board of Directors. The Board of Directors represents the interests of the shareholders and therefore keeps the company operating within legitimate limits. The COO, CIO, and CFO all report to the CEO and make sure that the company is operating efficiently, legally and environmentally responsibly. That is an ideal company, but there are few of those.

CEO - Cheif executive officer, and he is the one with the most authority in a corporation.
COO - Cheif Operating Officer, works under the CEO and makes decisions soley on the operations side of things.
CFO - Cheif Financial officer, oversees the financial needs of the company
CIO - Cheif Information Officer, in charge of all things under the Information technolgy umbrella.
COO, CFO, CIO all work under the CEO. The chairman of the board can sometimes be the ceo, but most of the time it is someone who is not an officer, and he basically heads the "steering committee" which is mostly what a board is. |
