The CEO is the head of the company. He is also often a member of the Board of Directors.
The CEO is the top bananna and also often has the title of Chairman of the Board of Directors. The Directors don't "run" the company per se, but their approval is needed for many areas of running the company.
For example, if the CEO thought it was wise to issue more stock, he or she typically needs the Board's approval to do so. |

The ceo of a company is usually the one who started the company and hold the majority of the stock, but not always. He is however in charge. He can call a meeting of the stock holders and other officers to have a director removed. Directors are sometime refered to as Division presidents or such. I am a director of a several corporations because the CEO's are not versed in the day to day operations like I am. Its like the difference between the director of a major motion picture for Universal. The CEO from Universal can fire the director but the director can't fire the ceo. |
