The Federal Reserve is controlled by a Board of Governors which are appointed by a President and confirmed by Congress. The Board of Governors is the national component of the Federal Reserve system. They provide broad oversight of the system and meet several times a year to discuss the economy and economic policy.
There are 12 district banks and 25 branches in the system. These banks are setup similar to private corporations, but under government oversight. Each district bank has a board of directors consisting of nine members. Three of those members are selected by the Board of Governors. The other six members are selected by the member banks of the Federal Reserve system. These six members are not allowed to be officers, directors, or employees of any bank. The Board of Directors of each bank selects the President and Vice President of the district bank with the approval of the Board of Governors.
National banks are required to become members of the Federal Reserve system. State banks can become members if they meet certain requirements. Each bank that becomes a member is REQUIRED BY LAW to "subscribe" to shares in a district bank. The amount of the shares each bank must subscribe to is SET BY LAW to a percentage of the member bank's capital. THEY DO NOT HAVE A CHOICE. The shares pay an annual 6% dividend, to reimburse the member banks for the loss of the use of that capital. Private individuals, private corporations, and foreign governments are not allowed to own shares in the Federal Reserve banks. Also, the shares confer no rights of ownership other than a member bank gets a single vote for each vacant seat on the Board of Directors. The member banks do not have a say in the way the Federal Reserve is operated or any claim to assets of the Federal Reserve. In fact, the Federal Reserve returns excess earnings to the U.S. Treasury every year. For example, In 2006, the Federal Reserve had earnings of $36.5 billion. After all expenses were paid, the Federal Reserve paid $29.1 billion to the U.S. Treasury. This can clearly be seen on the INDEPENDENTLY AUDITED financial statements of the Federal Reserve.

The audits are part of the Federal Reserve's annual report to Congress. I bet someone told you the Federal Reserve has never been audited. I also bet someone told you the Federal Reserve doesn't report to Congress and doesn't have any oversight. Do you see now that both assertions are wrong?
BTW, while the Federal Reserve Act was passed on Dec. 23, 1913, Congress stayed late that year in order to get it in that session. According to the Congressional Record, the act passed the House on Dec. 22 by a vote of 298 to 60. That is 358 voting members out of 435. 82.2% attendance, which is pretty good. The act passed the Senate on Dec. 23 by a vote of 45 to 23. While 68 out of 96 isn't as good a turnout, it is still enough to legally pass the legislation. |

John R has the right answer. But that Google video is about 3 hours long. But it does show how the Federal Reserve was set up in secret and is totally unconstitutional. Incidentally, the Bank of England was nationalised. That is owned by the government. |
