jacqui2121 | Why do companies have two names ? One for trading ? |
|

Some companies that appear to have more than one name, actaully just have subsidiaries. They are entities owned by a parent company. |

Not all companies have two names, Some have their legal name and some have a trading name.
My company name is Tumalty UK Limited
I have 3 trading names Tristar Construction for my building company, Diamond Cleaning for the cleaning contractors, and Big D's for my pizza shops,
This way I am able to trade in differant market sectors but only have the paper work of 1 company but the combined turnover increases the value and credit rating and lowers the paper work required |

Most companies w/2 or more names are just spreading the risks out.. Mostly for insurance purposes, so they dont have to have high risk and low risk on same policy, they can get the low risk company cheeper less expensive insurance and have a seperate policy for the more riskier company! |

The registered name of a limited company has to be unique and hence the desired name may well be unavailable.
To overcome this, many businesses will be of the form 'Obscure Company Name Limited t/a Local Food Store'.
Another reason is that companies that are household names tend to be known by one word or a short phrase instead of the full company name. eg Sainsbury's, Tesco's. |

One for the registrar of companies and one for the public. eg. International Business Machines and IBM. |

Most companies do not have two names but although in the UK it is required by law to use and identify the registered name on all stationery any other trading name can be shown also. Most businesses want a unique name and therefore would normally have obtained the registered name they wished to use anyway.
The reason given for using a trading name because the registered name had been taken would be ill advised because you then leave yourself open to a "passing off" action whereby the registered company could sue you for allegedly masquerading as it and gaining its customers and goodwill. However, if you were not engaged in the same business activities the action would not succeed.
The idea of using several trading names for different businesses under the umbrella of one limited company is very unorthodox and not recommended. It would be extremely confusing trying to account for three different types of business in one set of accounts. It would be impossible to analyse them properly and treat each type of business separately and no reputable accountant would agree to deal in that fashion. Her Majesty's Revenue and Customs would almost certainly have something to say also. |
