Corporations are registered with the Secretary of State, and the process varies across jurisdictions. There are a number of self-help legal books you can use to decide if you want to incorporate, choose which type of corporate entity, and help you figure out all the paperwork. See below.

The $800 minimum tax is negligible, really; just be sure you have a good CPA on your team to help you adjust your "bottom line" so you end up with your tax bill being...you guessed it, $800. The rest can be taken out in salary, benefits, etc. For this reason, the fear of "double-taxation" is a myth (it only applies when the corporation has paid tax on a net income, and then paid a dividend to shareholders - you; if you take the money out in salary/bonuses/etc., then there will be no dividend payout). There are many employee benefits that are available tax-free for owners/employees of C corporations, that would be taxable under any other business entity structure.

You can also use an online service such as legalzoom, or hire a legal document assistant to provide you with information and prepare your corporate paperwork. If, however, you are not comfortable handling a legal matter yourself, you should definitely see an attorney. Regardless, you should get a CPA on board right away so you set everything up in a way that maximizes the tax advantages for you.

I am not a big fan of incorporating. It is expensive to do, and for the personal liability avoidance benefit? I don't think so. For the $800 it costs to incorporate, you can buy several million dollars worth of liability insurance.

I would look at just sticking with a sole proprietorship unless you've got some super COMPELLING reason to incorporate. Check with a CPA (Certified Public Accountant) and ask him/her whether you should consider Incorporation, Partnership, or Sole Proprietorship. He/she will be able to give you the ins and outs of this move.

Go online and look for information. You can do it yourself, or get a lawyer, the cost is minimal. Lots of companies incorporate in Deleware because the laws are friendly to companies there. You can become a C corporation like the big boys or an S corporation like many small companies. The S corp has fewer legal requirements and acts as a pass through for your income and expenses.

In order to incorporate, it is best to see a lawyer who specilizes in setting up corporations. A couple of suggestions, when looking at incorporating, keep in mind two things, 1) You could beef up your personal liability for the same or less cost annually with a personal liability policy, 2) depending on the corporate status, you may be in a better tax status by not being incorporated.

Having said this, I like the idea of incorporating a business if your plans are to keep the business going after you are no longer able to work in it, want to take advantage of some tax loopholes that are not available to sole props or partnerships, and also want to combined these with the asset protection piece of the "corporate vail." You must also be willing to put in the time on an annual basis to keep your corporate documents up to date because just becuase you have a corporation, doesn't mean you are fully covered.

One last note: Be wary of anyone or any website that tells you that their corporate documents are good in every state... each state has it's own rules for incorporating... this is why it is so important to go to a lawyer who specializes in this field.
