""Insider trading" is a term that most investors have heard and usually associate with illegal conduct. But the term actually includes both legal and illegal conduct. The legal version is when corporate insiders—officers, directors, and employees—buy and sell stock in their own companies. When corporate insiders trade in their own securities, they must report their trades to the SEC.

Illegal insider trading refers generally to buying or selling a security, in breach of a fiduciary duty or other relationship of trust and confidence, while in possession of material, nonpublic information about the security. Insider trading violations may also include "tipping" such information, securities trading by the person "tipped," and securities trading by those who misappropriate such information.

It's an unfair advantage someone has when they buy/sell a stock based on nonpublic information. For example, someone within the company knows that they are in negotiations to be bought out by a larger firm; if they were to buy stock based on this information--which wasn't yet available to the public--they would be guilty of insider trading. Directors, executives, etc. are all considered insiders and must report their trades to the SEC.

It is where someone who owns shares of a stock using Information that is private to their advantage in buying or selling of that companies stock. For example, if a Person who works at company A and is invested in the stock of that company, and he finds out say that the company is thinking about being taken over by another company before that info goes public and he buys a lot of shares because he knows the price will shoot up at the news of the merger/buyout, that is insider trading, because he used private knowledge to get an upper hand.

This supposedly prevents business individuals who are privy to trading info before the general public is, from doing their own private trading amongst themselves to get rich without the public knowing what they know, and thus taking unfair advantage of their position of trust...

Sort of like a Judge who would use the services of hookers he's actually convicted...

Insider trading/information is beneficial to only those informed(of something about to go up or down in value).
