i'm not planning on buying a huge amount of stocks but i'd like to get my feet wet and buy a few inexpensive ones and see what happens....

IMPORTANT BUSINESS QUESTION.... RE: stock?
i've worked for an electrical contractor for aprox. 7 years... today he offered to GIVE me 10% of the stock in the business, the only thing that i really have to agree to is that i will stay at least 5 more years with the company... i really cant think of any cons to this proposal ? i have to make a decision by next week in order to meet with the lawyer and sign papers.. can anyone think of any negatives in this situation, anything i am missing or not considering ??

what if the company went under... would that effect me any ? other then possibly losing my shares ?

Should not be any downside unless your boss needs to raise some capital and thinks he can twist you arm once you have an equity share. Does the company pay any dividends? Hopefully it is a genuine offer to bring you into the business. A 10% holding in a private company has very little value, unless there are dividends and/or an exit route sometime in the future (Flotation or trade sale). You have little or no say in the company and presumably you cannot sell your stake to anyone without the majority's approval.
Maybe it is too show good faith in you and to hold you for 5 Years. Enquire as to if there is a cash alternative!

Besides the 5 yr commitment what is it costing you?
You are in the company so should have a better sense of what is going on around the company, how it is doing, where it plans on going ect. So it sounds good, especially if you were not intending on quiting anytime soon.

I think you should talk specifically to a lawyer on this. You really need to draw up an employment contract that will protect your interests. One of the responders has an excellent point. How do you liquidate the 10% ownership? How will you share in the profits? Are there profits? What are the ramifications if for some reason you should have to leave in 3 years?

Also, maybe the negatives are hidden in those papers you will be signing. You should have your own lawyer read over the papers before you sign.

what are the value of the shares??
are you being paid similiar to others in the same position at other companies??
Can you sell the shares after the 5 years?to who? and who decides their value?

Muncie is absolutely correct. Talk to a lawyer!

Is this a private company or public corporation? In a private company, I believe that as an owner you are liable for company debts and actions. If your lawyer confirms that be sure you want to accept the liability.

10 % stock of any comapny is lot. Apart from the 5 year commitment, there are few other things too. Like :

1) What if you leave ur job mid way ?
2) Mhat if you get fired ? (hope this doesn't happen but just a possibility)

3) Also since you are in the company, You should be knowing how its doing and how are they plannign to grow ?
- This question has lot of areas like markets covered, competition etc.

After that you should try to visualize the worst possible condition that can arrise and think wjether you can handle it or not.
