We both signed the LLC papers, but we never signed any type of partnership agreement. I have been growing the business and supporting it financially and proffessionally. She has done absolutely nothing to help, which has me thinking about the future. Only my name is on the bank account, but how can I protect my money and company in the future just in case I grow this into a million dollar business, we separate, and she wants half. |

you need a partnership agreement that outlines everything. ie ownership percentages, legal rights of owning parties, etc etc - make sure you have a lawyer read and explain everything - there are no stupid ?'s when it involves $ |

Shift all of your assets to another LLC. First get her to sign over everything, than tell her you will add her to the new LLC when everything is ready, than dump her butt! or never get around to adding her to the LLC. If she asks why? Tell her tax reasons and that it's really complicated that your accountant will explain. Than make up some jargon have a freind present her with it, confuse the hell out of her and send her packin' |

Congratulations on starting your own business. My family just started an investment group as an LLC and I found a great operating agreement at the website below. It's standard for all states. It only costs about seven bucks and it is relatively easy to personalize. Along with the operating agreement, I would recommend a visit to a lawyer just to get an idea of how you can protect yourself. Best of Luck to you! |

I'm not sure what your equity is in the company (maybe 50%?) but you can buy her stake in the company. Whatever she put in to begin with plus whatever else you think is appropriate and see if she wants it. If not, I'd just ditch her and start another company under a different name. Since it's a corporation, I don't think that just because one partner is out means the legal entity is dead. However, if it was an LLP, I believe if one partner is out... the legal entity is dead and must be formed under a different legal contract/filing or whatever. |

You write this into the agreement...typically the articles will speak to this. If not, you didn't have a good attorney or you tried to do it yourself. You always, always, always have a succession plan for the partnership/business, which will include what happens if one of you decide to no longer be involved in the business. Of course, this also typically involves a pay out of a business value amount to the defecting partner. |

You must have needed her signature for collateral or else why would you have done it ,she must have a job else where.
And that is why she is not contributing in that way .

Document everything and save all receipts this will help you prove how much more you put in to the business. Pay with a check or credit cards when you do anything for the business, this will also show that you are supporting it, but Its not to late to get a signed agreement. Have everything laid on in the agreement.You have one thing in your favor that you have the bank account in your name. But I would get a good attorney who specializes in LLC companies. |

Please get a partnership agreement now! An attorney can draw one up for you. My LLC with best friend split congenially after two years but we never finalized an agreement. Thank God we were decent about it but it did get uncomfortable at times, especially the financial side of it. She bought me out, I took what was reasonable but probably should have gotten more. Go now, it sounds like you are the leader, she'll probably sign an agreement if you tell her ALL businesses no matter how big or small have agreements. |
