Try Googling 'specimen Memorandun and Articles of Association'. This is a legal document and you shouldn't attempt to compile one on your own. |

You can buy these from most good stationers it will be under the section legal stationary. The language is very specific. You shouldnt have to may more than about 10gbp for one and then you can put in your specific details. Do not write it yourself you have to file this at companies house and it needs to be correct in order to form a valid limited company |

How about the word Memorandum and your name.
I think you mean letter heading though If so then it should include the necessary contact details such as Business name,address phone number and if applicable email address. If you are meaning business card then your name address etc on one side and your business name on the other. |

Even the cheap companies in E&M provide M and A, so why not use one of them?
A memorandum should include:
Name of Co.
Situation of Registered Office
Objects of Co. (Very broad these days)
Statement of members liability (Limited)
Statement of Share Capital.
That's it.
The Articles are a different matter.
Obtain a specimen copy from another recent limited company and copy these.
(Alternatively, peruse the Companies Acts
1985 and 1989 (with amendments) and write your own! |

It would be highly unusual to "prepare" a memorandum unless you are a city lawyer, company secretary or formation agent. Most are standard now and even the main objects clause simply states "general commercial company" and covers most things. As you can buy a shelf company for around £50 or less (don't buy these cheapies unless you know what you are doing) there is no need. The Memorandum and Articles format will be abolished shortly, as a matter of interest, under Companies Act 2006 provisions. Future companies will have a single document covering everything.
Of course, this is a Memorandum of Association - you may be referring to something quite different.
Regarding letterheadings, these need registered company name, registered number, registered office address and a statement that the company is registered in England and Wales. This applies to registered companies only. From 1st January 2007 this information is also required on business emails and websites following implementation of an EU directive. |
